About This Course
At the end of the 8-week course, participants will be able to:
- Understand the significance of the principle of separate entity and limited liability
- Appreciate the opportunity costs of incorporation in regard to maintenance of capital
- Understand the principles and mechanics of internal governance of companies
- Be able to advise clients on available remedies for shareholders who are unfairly treated
- Know how directors and corporate officers are appointed, remunerated and removed from office
- Understand the civil and criminal liabilities that a director or corporate officer may be subject to
- Be able to advise on how companies may sue and defend litigation
- Understand the principles of corporate criminal liability
- Advise clients who face legal issues in respect to companies in Singapore
What You'll Learn
The Part A Singapore Bar Examination is a mandatory conversion examination for graduates from overseas scheduled universities who intend to apply for admission to the Singapore Bar. Delivered online instructor-led, this 8-week course will cover the five subjects set by the Singapore Institute of Legal Education (SILE): Company Law, Criminal Law, Singapore Legal System, Land Law and Evidence Law. Jointly offered by SMU Academy, SMU Law Academy and RHT Legal Training Institute (RHT LTI), the course will incorporate both academic and practical expertise, allowing participants to establish a well-rounded and solid foundation in preparation for the Part A Bar Examination. Taught by experienced faculty from SMU Yong Pung How School of Law and legal practitioners from RHT LTI, the course will provide specialised training to set the next generation of lawyers up for success in the Part A Bar Examination.
The first subject covers Company Law - the foundation of commercial law. It is not a subject that can be taught purely as a theoretical discipline. In this Company Law course participants will be familiarised not only with the basic principles of the law but also with how these principles are applied in business and legal practice.
