About This Course

Corporate secretarial work is fundamentally necessary yet often poorly understood. This complex area of work is vital to the functioning of any corporate entity. Corporate secretarial work underpins everything that a corporation does, including raising funds, making deals, doing business in general and ultimately the long-term success of an entity. A company’s corporate books is one of the first things that investors look at any Merger & Acquisitions (M&A) deal. The ability to understand and advise on corporate secretarial matters is useful for any legal professional working with corporate clients.

This course aims to provide participants with a broad framework on the corporate secretarial obligations relevant to financial institutions that are privately owned and limited by shares, based on the prevailing laws, regulations and guidelines applicable to entities operating in Singapore. Participants will also gain insight into the practical aspects and day to day application of corporate secretarial principles.

This course will not cover corporate secretarial requirements relevant to public listed companies.

This course is targeted at professionals who are involved in or have to advise on corporate secretarial related matters at their companies. Even if the corporate secretarial function is outsourced to a service provider, legal professionals should be well-versed to be able to advise and tailor corporate secretarial documents to the business needs.
