About This Course
Singapore is one of the world’s leading start-up ecosystems. While product-market fit is important, there are benefits for startup founders to be have a basic understanding of the legal framework they should put in place to maximise the value of the start-up. Failure to do so could lead to cofounder disputes, theft of trade secrets or a breakdown in investor relations. This course provides a basic overview of the legal frameworks applicable to start-ups, from a practical, business-focused perspective.
First, start-up founders need to consider the appropriate business vehicle for their venture will be. Learn about the pros and cons of various legal structures, including the importance of foundational documents like the company’s Constitution, founder agreements, and shareholder agreements.
Next come fund-raising. Founders should have a basic awareness of the legal terms and types of investment structures to facilitate effective negotiations with investors and optimise the company's structure in the fundraising process.
Finally, looking into the road ahead, founders should also have an awareness of key employment matters that they should be aware of, the process of implementing an employee share option plan and basic ways to protect the company's intellectual property; alongside other longer term strategic considerations.
